2. Description of Service

2.1. SoundboardMP3 provides free sound buttons, curated soundboards, and viral meme audio clips for playback, download, and embedding. All Content (as defined below) is accessible without registration or payment, except where expressly noted.
2.2. We operate an ad-supported model and may display advertisements, sponsored placements, or promotions. We do not guarantee uninterrupted or error-free operation but will use commercially reasonable efforts to maintain the Website.

3. Definitions

“Content”: All audio files, sound buttons, soundboards, user-generated submissions, images, text, and other materials available on or through the Website.
“User Content”: Any audio clip, metadata, description, or other material submitted by you via the “Submit Sound” form or other upload interface.
“Website”: All web pages under the domain soundboardmp3.com and its subdirectories.

4. User Eligibility & Account

4.1. You must be at least 13 years old to use the Website. Users under the age of majority in their jurisdiction must have parental or guardian consent.
4.2. Registration is not required for basic usage (playback, download, and embedding). However, to submit User Content, you must provide a valid email address for verification and notification purposes.
4.3. If you provide any false personal information during registration or submission, or if we have reasonable grounds to suspect that information provided is untrue, we reserve the right to suspend or terminate your access immediately.

5. User Content

5.1. Submission License

a. By submitting User Content, you grant SoundboardMP3 a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, distribute, publicly display, and modify your User Content in any media and for any purpose.
b. You represent and warrant that you own all rights to the User Content or have obtained all necessary permissions/licenses to grant the above license.
c. You agree to indemnify, defend, and hold harmless SoundboardMP3 from any claims, damages, or liabilities arising from your User Content.

5.2. Content Review & Moderation

a. We reserve the right to review, edit, refuse, or remove any User Content at our sole discretion, including but not limited to material that we determine:

Violates these Terms, any applicable laws, or third-party rights.
Contains offensive, obscene, defamatory, or infringing content.
b. Approved User Content will be hosted on the Website and indexed for search engines with relevant metadata.

5.3. Copyright & Intellectual Property
a. If you believe any Content on our Website infringes your copyright, please follow our Copyright Infringement Notice procedure (see Section 16).
b. We respect intellectual property rights and comply with all applicable copyright laws, including the Digital Millennium Copyright Act (DMCA).

6. License & Permitted Use

6.1. Site Content License

Subject to these Terms, SoundboardMP3 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal or non-commercial purposes.

6.2. Permitted Use

a. You may:

Play, stream, and embed audio files on personal or commercial websites, blogs, social media, and content platforms.
Download audio files (MP3, WAV) for use in your own creations (videos, presentations, podcasts, etc.) provided you comply with any licensing notes attached to each file.
Share direct links to audio files or embed codes with other users.

6.3. Prohibited Use

a. You may not:

Redistribute, sublicense, sell, or rent any audio file or Content as standalone products (e.g., offering our audio for download on another site).
Modify, reverse-engineer, or create derivative works of the Website’s underlying code, data, or features.
Circumvent security or access restrictions (e.g., tampering with embed code to hide ads, hotlinking assets).
Use any automated tools (bots, scrapers, crawlers) to extract or download Content in bulk without prior written permission.
Post or transmit any Content that is unlawful, defamatory, libelous, obscene, or otherwise objectionable.

7.2. Trademarks
“SoundboardMP3” and associated logos are our registered or unregistered trademarks. You may not use any trademark, logo, or service mark of SoundboardMP3 without our prior written permission.
7.3. User Content
You retain ownership of your User Content, subject to the license you grant in Section 5.1.

8. Advertisements & Third-Party Links

8.1. SoundboardMP3 may display ads from third-party networks (e.g., Google AdSense). These ads may use cookies, web beacons, and similar tracking technologies to collect aggregated, non-identifiable information.
8.2. We are not responsible for the content, policies, or practices of any third-party advertiser or linked site. Visiting or interacting with third-party websites is at your own risk.

9. Privacy & Data Collection

9.1. Your use of the Website is also governed by our Privacy Policy. By agreeing to these Terms, you also agree to the data collection and processing practices described therein.

10. Disclaimers & Limitation of Liability

10.1. No Warranty
a. THE WEBSITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
b. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
c. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10.2. Limitation of Liability
a. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOUNDBOARDMP3, ITS AFFILIATES, LICENSORS, OR THEIR EMPLOYEES OR AGENTS BE LIABLE FOR:

ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
LOST PROFITS, LOST REVENUES, OR LOSS OF DATA ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITE OR CONTENT.
b. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR ACCESS TO THE WEBSITE WILL NOT EXCEED USD 100.

11. Indemnification

You agree to indemnify, defend, and hold harmless SoundboardMP3, its officers, directors, employees, agents, and affiliates from and against all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your breach of these Terms.
Your violation of any third-party rights, including intellectual property or privacy rights.
Any claim that your User Content caused damage to a third party.

12. Termination & Suspension

12.1. We may, in our sole discretion, suspend or terminate your access to the Website at any time, for any reason, including but not limited to:

Your violation of these Terms or applicable laws.
Suspected fraudulent, abusive, or illegal activity.
Prolonged inactivity or for any operational reason.

12.2. Upon termination, all licenses granted to you under these Terms will immediately cease, and you must discontinue all use of the Website and delete any local copies of downloadable Content.

13. Governing Law & Dispute Resolution

13.1. These Terms and any disputes arising under or related to your use of the Website shall be governed by and construed in accordance with the laws of the State of California (excluding its conflict-of-law principles).
13.2. Arbitration
a. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website shall be resolved by binding, non-appearance-based arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.
b. The arbitration will take place in Los Angeles County, California, United States, unless otherwise agreed.
c. Judgment on the arbitration award may be entered in any court having jurisdiction.

13.3. Class Action Waiver
a. You and SoundboardMP3 agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Changes to These Terms

14.1. We reserve the right to modify these Terms at any time. All changes will be effective immediately upon posting to this page with an updated “Last updated” date.
14.2. If we make material changes to these Terms, we will provide notice by posting a prominent notice on the Website for a reasonable period of time or by sending an email to users who have previously submitted User Content.
14.3. Your continued use of the Website after any revisions constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

16. Digital Millennium Copyright Act (DMCA) Notice

16.2. Counter-Notification
If you receive a DMCA takedown notice and believe your Content was removed in error, you may send a counter-notification with:

Identification of the Content removed and its original location.
A statement, under penalty of perjury, that you have a good-faith belief the Content was removed due to error or misidentification.
Your name, address, telephone number, and email.
A statement consenting to the jurisdiction of the federal court in your district (or, if outside the U.S., your residence country) and agreeing to accept service of process from the claimant.
